Terms of Service

Effective Date: September 10, 2026 • Last Updated: September 10, 2026

Welcome to F10P ("First Ten Pages"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "Writer/User") and F10P Inc. ("F10P", "we", "us", or "our"), governing your access to and use of our website, applications, in-browser reader, coverage marketplace, and associated digital services (collectively, the "Platform").

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING AN ACCOUNT, CLICKING "I AGREE", UPLOADING A SCRIPT, OR OTHERWISE USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER SET FORTH IN SECTION 14. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

1. Eligibility & Account Registration

  • Age Requirement: You must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) and fully capable of entering into binding legal contracts to use the Platform.
  • Account Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
  • Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and passwords. You agree to notify us immediately at [email protected] of any unauthorized access to or use of your account. You accept full responsibility for all activities that occur under your account.

2. Intellectual Property — The Screenwriters' Bill of Rights

The core mission of F10P is to empower visual storytellers. Our intellectual property terms are designed to give writers absolute certainty:

A. You Retain 100% Ownership

Your scripts belong to you. Period. You retain all right, title, interest, and intellectual property rights (including statutory copyright and moral rights) in and to all screenplays, teleplays, stage plays, treatments, synopses, loglines, pitch decks, characters, and dialogue that you upload, submit, or transmit to the Platform ("User Content"). F10P does not claim any ownership interest in your creative work.

B. Strictly Limited Operational License

To provide the Platform, you grant F10P a limited, revocable, non-exclusive, worldwide, royalty-free license solely to host, store, cache, convert into PDF reader format, reproduce, and display your User Content strictly as necessary to:

  1. Operate, maintain, and provide the Platform and its in-browser reader;
  2. Display your screenplay publicly or privately in accordance with your selected visibility and password settings; and
  3. Facilitate user-directed services, such as delivering your script to an assigned marketplace reviewer or generating user-requested AI feedback.

Termination of License: This license terminates automatically and completely when you delete your manuscript from your Studio or delete your account, subject only to completed reviewer reports already delivered and standard temporary database backups maintained in the ordinary course of business.

C. Irrevocable AI Training Prohibition

F10P expressly covenants and warrants that:

  • We do not use your User Content to train, retrain, fine-tune, or develop any generative artificial intelligence, large language model (LLM), or machine learning foundation model.
  • We do not license, sell, or provide your User Content to any third party for artificial intelligence training purposes.
  • Any AI-powered features on the Platform (such as diagnostic script analysis or cover art generation) process your material ephemerally and transiently under enterprise contracts prohibiting data retention for model improvement. For more details, review our AI Manifesto.

3. Entertainment Industry Reality & Parallel Development Waiver

In the entertainment and screenwriting industries, similar ideas, premises, high-concept loglines, historical events, mythological tropes, and character archetypes are routinely conceived and developed independently without access or copying ("Parallel Development").

By using F10P, you explicitly understand, acknowledge, and agree to the following:

  • Other writers, readers, reviewers, production executives, and F10P personnel may have independently developed, or may in the future independently develop, creative materials, concepts, themes, plots, or titles that are substantially similar or identical to your User Content.
  • You will not be entitled to any compensation, credit, or legal remedy arising from the independent development or public release of any such similar or identical materials.
  • To the maximum extent permitted by applicable law, you hereby irrevocably release and waive any and all claims, demands, or causes of action against F10P, its officers, employees, marketplace reviewers, and users alleging "idea theft," breach of confidential relationship, or breach of implied contract (including under California's Desny v. Wilder doctrine or similar state laws) arising solely out of similarity of unprotectable ideas, themes, concepts, or story elements.

4. Visibility, Privacy & Access Controls

F10P provides distinct visibility tiers for your creative work:

  • Public Manuscripts: Scripts marked as "Public" are discoverable in public listings, genre feeds, search results, and on your writer profile. Public scripts are readable by any visitor through the in-browser reader and are measured for cold-read progression (e.g., first ten pages completion).
  • Private Manuscripts: Scripts marked as "Private" are excluded from public discovery feeds and search results. Private scripts are accessible only by you, or by individuals who enter the script's authorized access password.
  • Password Stewardship: You are solely responsible for setting, safeguarding, and distributing access passwords for private scripts. F10P is not liable for unauthorized access resulting from your voluntary disclosure of access passwords.

5. Marketplace Services, Coverage & Financial Terms

F10P hosts a peer and professional coverage marketplace where writers may purchase script analysis and review services from independent reviewers ("Reviewers").

A. Platform Role & Independent Contractor Status

F10P operates strictly as a technology platform facilitating transactions between writers and Reviewers. Reviewers (including Pro Reviewers) are independent third-party contractors and are not employees, partners, or agents of F10P. F10P does not supervise, direct, or control Reviewers' artistic critiques or editorial evaluations.

B. Subjective Nature of Coverage & Reviews

Script coverage, feedback notes, and star ratings (0–5 stars) represent the subjective artistic opinion and critique of the individual Reviewer. F10P AND ITS REVIEWERS MAKE NO GUARANTEE, REPRESENTATION, OR WARRANTY THAT ANY COVERAGE, SCORE, OR RATING WILL RESULT IN SCRIPT SALES, OPTIONS, REPRESENTATION BY TALENT AGENCIES OR MANAGERS, PACKAGING, PRODUCTION, OR HOLLYWOOD ACCLAIM.

C. Orders, Billing & Fees

All purchases of coverage, review jobs, or digital add-ons (e.g., AI Cover Art, AI Script Analysis) are processed securely through our third-party payment processor, Stripe, Inc. You agree to pay all applicable prices, statutory taxes, and platform transaction fees displayed at checkout.

D. Cancellation & Refund Policy

  • Before Commencing Work: You may cancel a coverage order and receive a full refund if the assigned Reviewer has not yet accepted or commenced work on your script.
  • After Commencing Work: Once a Reviewer has commenced analysis or delivered a completed review report, the fee is fully earned and non-refundable, except in cases of complete non-delivery past the agreed deadline.
  • AI Add-ons: Automated AI diagnostic analyses and cover generation are delivered immediately upon order processing and are non-refundable once computational processing has completed.
  • Promotional Codes: Promo codes are non-transferable, cannot be redeemed for cash, and are subject to expiration dates, usage limits, and specific service categories.

6. Legacy Screenplay Library

The F10P Legacy Library features historical, published reference screenplays by established screenwriters (e.g., classic and studio-produced scripts) made available solely for comparative analysis, educational study, and literary criticism under the fair use doctrine of United States copyright law (17 U.S.C. § 107).

All copyrights in legacy screenplays remain the property of their respective authors, studios, or rights holders. F10P does not claim any ownership interest in legacy screenplays and provides them with full author attribution.

7. Acceptable Use Policy & Prohibited Conduct

You agree to use F10P only for lawful purposes in accordance with these Terms. You agree that you will NOT:

  • Upload, post, or transmit any script or content that you do not hold the lawful copyright or written authorization to upload, or that infringes upon any third party's intellectual property, privacy, or publicity rights;
  • Plagiarize or falsely represent another person's creative work as your own;
  • Upload scripts or content that are defamatory, libelous, obscene, excessively violent, harassing, threatening, or promoting illegal discrimination;
  • Upload corrupt files, viruses, worms, malware, or any code intended to damage, disable, or disrupt the Platform;
  • Use automated spiders, scrapers, crawlers, robots, or data-mining tools to harvest manuscripts, reader metrics, user profiles, or text from the Platform without prior express written consent;
  • Attempt to bypass, defeat, or tamper with script access passwords, security controls, or user authentication systems;
  • Artificially inflate reading progression numbers, script reads, review counts, or star ratings through bot traffic, click farms, or collusion;
  • Reverse engineer, decompile, or disassemble any aspect of the Platform software or proprietary algorithms.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

8. Digital Millennium Copyright Act (DMCA) Policy

F10P complies with the Digital Millennium Copyright Act of 1998 (17 U.S.C. § 512). If you believe in good faith that any content or manuscript hosted on F10P infringes your copyright, you or your designated agent may submit a formal DMCA Notice of Infringement to our Designated Copyright Agent:

F10P Inc. — Designated Copyright Agent
Attn: Legal & DMCA Compliance
Email: [email protected] (Subject line: "DMCA Takedown Notice")
Support: [email protected]

Required Elements of a Valid DMCA Notice

To be effective, your notification must be in writing and include:

  1. A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing, with sufficient information (such as the specific F10P script URL) to enable us to locate it;
  4. Your contact information (name, address, telephone number, and email address);
  5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

Counter-Notification & Repeat Infringer Policy

If your content was removed pursuant to a DMCA notice and you believe it was removed due to mistake or misidentification, you may submit a statutory Counter-Notification to our agent. We will forward the counter-notice to the original complainant and may restore the material within 10 to 14 business days unless the complainant files a court action.

In accordance with 17 U.S.C. § 512(i), F10P maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat copyright infringers.

9. AI Diagnostics & Cover Art Disclaimers

AI Screenplay Diagnostic Analysis and AI Cover Art Generation are computational assistance tools provided strictly for creative exploration and diagnostic drafting assistance:

  • AI feedback does not constitute legal advice, professional script doctoring, or industry guarantees.
  • In accordance with U.S. Copyright Office guidance regarding generative artificial intelligence, purely machine-generated outputs may not be eligible for human copyright protection. You are solely responsible for determining how you incorporate AI feedback or assets into your human-authored work.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, INCLUDING ALL SCRIPTS, READER FUNCTIONALITY, MARKETPLACE SERVICES, REVIEWS, AND AI ADD-ONS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

F10P EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM UNAUTHORIZED ACCESS OR SYSTEM INTERRUPTIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL F10P INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF SCRIPTS, LOSS OF DATA, LOSS OF CREATIVE OPPORTUNITY, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF F10P INC. ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), OR (B) THE TOTAL FEES PAID BY YOU TO F10P IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless F10P Inc., its officers, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content or any infringement of third-party intellectual property, copyright, or privacy rights by your uploaded scripts; (b) your breach of these Terms or the Acceptable Use Policy; (c) your interactions with other users or Reviewers; or (d) your violation of any applicable law.

13. Termination & Account Deletion

You may terminate these Terms at any time by deleting your account via Settings → Account. Upon deletion, your right to access the Platform ceases immediately.

F10P reserves the right, in its sole discretion, to suspend or terminate your account or access to the Platform at any time for violation of these Terms, suspected fraud, intellectual property infringement, or conduct detrimental to the community, without prior notice or liability.

14. Dispute Resolution, Mandatory Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY HEAR YOUR CLAIMS.

A. Mandatory Binding Arbitration

You and F10P agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, except as modified herein.

B. Class Action Waiver

YOU AND F10P AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

C. 30-Day Right to Opt Out

You have the right to opt out of this mandatory arbitration provision and class action waiver by sending written notice of your decision to opt out to [email protected] within thirty (30) days of the date you first register an account or accept these Terms. The opt-out notice must include your full legal name, F10P username, and a clear statement stating your intention to opt out of arbitration.

D. Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court having jurisdiction, or seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights (including copyright, trademark, or trade secret rights).

15. Governing Law & Jurisdiction

These Terms and any Dispute arising out of or related to these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law. To the extent any legal proceeding is permitted in court, both parties consent to the exclusive personal jurisdiction and venue of the state and federal courts located in the State of Delaware.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and AI Manifesto, constitute the entire agreement between you and F10P regarding the Platform.
  • Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
  • No Waiver: F10P's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. F10P may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
